These Terms govern your use of Novgraph, the Novgraph client, and Nexus, together the "Services", provided by Novaya ("we", "us"). By accessing, installing, or using a Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Novgraph is a proprietary hosted knowledge-graph service for codebases. It indexes repositories you authorize, produces a derived graph of code structure and development history, and serves that graph to coding agents through an API. The downloadable Novgraph client installs and connects that API to supported agents.
Nexus is a coding agent that can use Novgraph and third-party models or services. Some Nexus data and actions remain on your device; hosted features use Novaya's servers as described in the Privacy Policy.
Novgraph offers Free, Plus, and Pro plans. Paid subscriptions are sold and processed by Polar, our merchant of record. Polar presents the final price, applicable taxes, payment terms, and receipt at checkout. Novaya does not receive or store your complete payment-card number.
Monthly subscriptions are billed monthly. Annual subscriptions are billed once in advance for a year and renew annually unless canceled. Hosted graph-call allowances reset every 30 days from the account's usage-period anchor regardless of whether payment is monthly or annual; unused calls do not roll over. You can manage payment details, invoices, plan changes, and cancellation through the billing portal. Cancellation stops renewal and paid access remains available until the end of the paid subscription period. You may connect only repositories and Git-host accounts that you are authorized to access and process. You are responsible for ensuring that your use of the Services does not violate an employer's, client's, contributor's, or other rights holder's restrictions.
Novaya does not retain your complete codebase as stored service data. To build or refresh a graph, the indexing service may create a temporary checkout of the authorized repository, read it, and delete the checkout when the job ends, including when a job fails. When the dashboard displays an individual file, that file is fetched from your Git host and passed through without being retained as a source-code archive.
The hosted service retains the derived knowledge graph, which can include file paths, symbol names and kinds, imports, calls, relationships, generated summaries, commit identifiers and subjects, and reasoning recorded by you or your agents. Summaries, commit messages, prompts, and recorded reasoning can quote or describe parts of code. Further details are in the Privacy Policy.
You retain your rights in repositories, code, prompts, commit messages, recorded reasoning, and other material you provide ("Your Content"). You grant Novaya a limited, non-exclusive permission to access, process, transmit, and create derived graph records from Your Content only as needed to operate, secure, maintain, and improve the Services for you. This permission ends when the associated data is deleted, except for limited records we must retain by law or for security and dispute resolution.
You confirm that you have the rights and permissions needed to provide Your Content and instruct us to process it. We do not acquire ownership of Your Content, and we do not use one customer's content to improve another customer's results.
You agree not to use the Services to break the law, infringe others' rights, gain unauthorized access to repositories or accounts, distribute harmful or abusive content, interfere with service operation, evade limits, probe another customer's data, or violate the terms of a connected provider. You may not copy, reverse-engineer, or attempt to extract the proprietary hosted service except to the extent applicable law expressly permits it.
The Novgraph client is distributed under the Apache License 2.0, and that license governs your rights in the client source code. The client is published to make installation, distribution, credential handling, agent wiring, and API access inspectable and portable.
The Apache License does not apply to the hosted Novgraph knowledge-graph service. Novaya retains all rights in the proprietary graph engine, schemas, algorithms, infrastructure, service APIs, interfaces, and other hosted-service technology, excluding Your Content and third-party materials.
Knowledge-graph and AI outputs can be stale, incomplete, inferred, inaccurate, or unsafe. Novgraph may miss dynamically constructed relationships, unsupported languages, unpushed changes, or dependencies that cannot be derived from the indexed repository. Impact analysis and token-saving measurements are aids, not guarantees of completeness, correctness, cost reduction, or billing reduction.
Nexus and other agents can take actions at your direction. You are responsible for reviewing generated output and actions before relying on them, especially code you run, changes you deploy, and security, financial, legal, or operational decisions.
The Services can connect to Git hosts, AI providers, and other services at your direction. We are not responsible for their availability, output, fees, security, or handling of data. Your relationship with each provider is governed by its own terms and privacy policy.
We may apply reasonable request, repository, storage, or usage limits; change or discontinue features; and perform maintenance. Indexing and graph refreshes can be delayed. We do not promise uninterrupted availability or that a graph will always match the latest repository commit.
You may stop using the Services, uninstall the client, revoke keys, disconnect Git hosts, and request deletion of your account or hosted graph data. We may suspend or terminate access when you breach these Terms, create security or legal risk, exceed applicable limits, or use the Services in a way that could harm Novaya, other users, or third parties.
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or accurate, or that they will preserve data or identify every relevant code relationship.
To the maximum extent permitted by law, Novaya will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of code, data, credentials, profits, revenue, business, or goodwill, arising from or related to the Services. This includes losses caused by generated output, missed or incorrect dependencies, repository processing, indexing delays, unauthorized use of your credentials, connected services, or third-party providers. To the extent we are found liable, our total liability is limited to the amount you paid Novaya for the Services in the twelve months before the claim, which may be zero.
We may update the Services and these Terms. Material changes take effect on the updated effective date above and, where appropriate, will be noted in the product or on this page. Continued use after the effective date means you accept the revised Terms.
