Terms of Service

These Terms govern your use of Nexus, a desktop application provided by Novaya ("we", "us"). By installing or using Nexus, you agree to these Terms. If you do not agree, do not use Nexus.

1. What Nexus is

Nexus is a local-first, bring-your-own-key AI application. It runs on your device, stores your data locally, and connects to AI models and other services using credentials you provide. We give you a personal, non-exclusive, non-transferable license to install and use Nexus for your own personal or business purposes, subject to these Terms.

You agree not to use Nexus to break the law, to infringe others' rights, to generate or distribute harmful or abusive content, to attempt to disrupt or reverse-engineer the software except as permitted by law, or to violate the terms of any provider or service you connect.

4. Your content

You retain all rights to your code, prompts, files, and other content. Because Nexus is local-first, that content stays with you; we do not claim any ownership of it, and we do not access it.

5. AI output — review before you rely on it

Nexus uses AI models that can produce inaccurate, incomplete, or unsafe output, and can take actions you ask it to take. You are responsible for reviewing AI-generated output and actions before relying on them, especially for code you run, changes you deploy, or decisions you make. Nexus is a tool, not a substitute for your own judgment.

6. No warranty

Nexus is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that Nexus will be uninterrupted, error-free, or secure, or that any output will be accurate.

7. Limitation of liability

To the maximum extent permitted by law, Novaya will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of Nexus — including losses caused by AI output, connected services, or third-party providers. To the extent we are found liable, our total liability is limited to the amount you paid us for Nexus in the twelve months before the claim (which may be zero).

8. Third-party services

Nexus can connect to third-party services and models at your direction. We are not responsible for those services, their availability, or their handling of your data. Your relationship with them is governed by their terms.

9. Changes and termination

We may update Nexus and these Terms over time; material changes take effect on the updated effective date above. You may stop using Nexus at any time by uninstalling it. We may suspend access to any hosted components if you breach these Terms.
